1. Acceptance of Terms
These Terms & Conditions apply to all services provided by Upkeep Cleaning Company LLC ("Upkeep," "we," "us," or "our"), regardless of how the service is requested, scheduled, or booked.
By requesting, scheduling, confirming, purchasing, or receiving services from Upkeep — whether through our website, online booking form, telephone, text message, email, social media, or any other method — you acknowledge that you have had access to these Terms & Conditions and agree to be bound by them, together with our Privacy Policy.
These Terms also apply when another person schedules or pays for service on your behalf.
If you do not agree to these Terms, you must notify Upkeep before service is performed and cancel the appointment in accordance with the cancellation policies contained herein.
We may update these Terms from time to time. The version applicable to a particular service will generally be the version in effect when that service is scheduled or confirmed. The current version is always available at cleanwithupkeep.com/terms.
2. Services Offered
Upkeep provides residential cleaning services, including recurring maintenance cleans, one-time deep cleans, move-in / move-out cleaning, and short-term rental turnovers, within Salt Lake County, Utah County, and surrounding areas. We reserve the right to refuse or terminate service, at our sole discretion, for any reason, including but not limited to unsafe or unsanitary conditions, conditions outside our scope of work, or a history of repeated cancellations, no-shows, or lockouts.
3. Booking, Payment, and Card Authorization
3.1 How Bookings Are Made
Services may be requested or booked through our website, online booking forms, telephone, text message, email, social media, or other communication with Upkeep.
A booking is considered confirmed when Upkeep communicates confirmation of the appointment to the customer by email, text message, telephone, or another agreed method.
The price, estimated service time, service type, and frequency may be established through our online booking system, a written quote, text or email communication, or a verbal quote provided by an authorized Upkeep representative.
Regardless of the method used to schedule the service, all bookings are subject to these Terms & Conditions.
3.2
Customers are responsible for payment for all services that are requested, authorized, and performed by Upkeep.
By providing a payment method to Upkeep and requesting or confirming service, you authorize Upkeep and its payment processor to securely store that payment method and, to the extent permitted by applicable law and payment-network rules, use the authorized payment method for amounts due in connection with your Upkeep services.
Amounts that may become due include:
- the agreed or quoted price for completed cleaning services;
- recurring cleaning charges for appointments scheduled under an ongoing service plan;
- additional cleaning time or services that you approve;
- applicable rescheduling, cancellation, or lockout fees described in these Terms; and
- outstanding balances for completed services, including balances that remain unpaid because a previous payment was declined, reversed, refunded, disputed, or otherwise not successfully received by Upkeep.
Unless otherwise agreed, payment for pay-per-visit services is due upon completion of the service.
The amount charged for a completed service will be the price quoted, displayed, or otherwise agreed to for that appointment, together with any additional amounts expressly approved by the customer and any applicable fees authorized under these Terms.
If a payment is refunded solely because it was charged to an incorrect or unauthorized payment method, the refund does not cancel the customer's obligation to pay for services already performed. Any resulting unpaid service balance remains due.
Providing a payment method does not authorize Upkeep to charge for additional cleaning work that requires customer approval under Section 6 unless that additional work has been approved.
3.3. Authorization Hold ("Auth Hold")
For certain services and plans booked through our online booking system, including One-Time Deep Cleans, the Flex Plan, and the 3-Month Savings Plan, Upkeep may place an authorization hold on your payment method at the time of booking.
An authorization hold is not a separate charge. It temporarily reserves the applicable funds while we process and confirm your booking.
- The authorization may be captured in accordance with the payment terms presented during booking and the applicable service or plan terms below.
- If we are unable to confirm a mutually acceptable appointment, the authorization will be released. The timing of the release appearing on your account is determined by your financial institution.
- If your payment method is declined during authorization or capture, we may be unable to confirm or perform the service.
The 3-Month Prepay Plan is charged according to the prepaid terms described in Section 4.3 rather than the authorization-hold process described above.
For the 3-Month Prepay plan, your card is charged immediately upon booking (see Section 4.3).
3.4 Payment Methods
We accept major credit and debit cards. All payment processing is handled by our third-party payment processor. A 3% card processing fee is added to all charges and disclosed at checkout.
4. Membership Plans and Recurring Billing
Upkeep offers three ways to pay for recurring cleaning service. All plans include the same full deep-clean service on every visit. The plans differ only in commitment length and how payment is structured.
4.1 Flex Plan (Pay Per Visit)
How it works: Pay for each cleaning as it happens. No commitment.
Initial cleaning: Charged at the initial deep-clean rate disclosed at checkout.
Recurring cleanings: After the first service, your card is authorized after each completed cleaning at the member rate disclosed at checkout, at the frequency you selected (weekly, biweekly, or monthly).
Cancellation: You may cancel the ongoing service at any time by contacting us. Cancellation of future service is free. Individual appointments already scheduled remain subject to the rescheduling and cancellation policies in Section 5.
4.2 3-Month Savings Plan (Commitment)
How it works: A three-month commitment. Your initial deep-clean fee is waived, and you pay the member rate for every cleaning during the term.
Initial cleaning: The initial deep-clean fee is waived. You are charged only the member rate for your first cleaning.
Recurring cleanings: During the 3-month term, your card is authorized after each completed cleaning at the member rate disclosed at checkout.
After the term: At the end of the 3-month commitment, service continues automatically at the same frequency and member rate until you cancel. Post-term cancellation is free at any time, subject to the appointment-level policies in Section 5.
Early cancellation fee: If you cancel service before completing the 3-month commitment, you authorize Upkeep to charge an early cancellation fee equal to the difference between the initial deep-clean price and the discounted first-cleaning member rate you paid — that is, the amount of the initial deep-clean fee that was waived when you enrolled. This fee is disclosed and authorized in writing at checkout on a per-booking basis.
4.3 3-Month Prepay (Prepaid Credits)
How it works: Pay in full at time of booking for three months of service (6 cleanings biweekly, 12 cleanings weekly, or 3 cleanings monthly) at the member rate, with an additional 5% discount off every cleaning and the initial deep-clean fee waived.
Payment: Charged immediately at the time of booking. The purchase is treated as prepaid cleaning credits belonging to you.
Use of credits: You may use your prepaid cleaning credits at your originally selected frequency, pause and resume service, or reschedule individual appointments (subject to Section 5). Credits are honored regardless of any subsequent change to our regular pricing.
Credit expiration: Prepaid cleaning credits expire 12 months from the date of purchase. Unused credits after 12 months are forfeited.
Refunds: 3-Month Prepay purchases are non-refundable. There are no refunds or credits for partially used periods. Refunds may be issued only at Upkeep's sole discretion in unusual circumstances (such as death, permanent relocation outside our service area, or documented medical hardship).
4.4 Automatic Renewal Disclosure
The Flex Plan and 3-Month Savings Plan continue automatically at your chosen frequency until you cancel. By enrolling, you authorize Upkeep to charge your card on file after each completed cleaning at the member rate disclosed at checkout. You may cancel at any time (subject to the 3-Month Savings Plan early cancellation fee in Section 4.2) by contacting us at [email protected] or (435) 246-1555.
5. Rescheduling, Cancellation, and Lockout Fees
The following appointment-level policies apply to all plans equally, including Flex Plan, 3-Month Savings Plan, 3-Month Prepay, and One-Time Deep Cleans.
5.1 Standard Notice Window
We ask for at least 48 hours notice for any rescheduling or cancellation of a specific appointment.
5.2 Rescheduling Fee
If a scheduled appointment is rescheduled with less than 48 hours notice, a $50 rescheduling fee may be charged to the card on file.
5.3 Cancellation and Lockout Fee
If a scheduled appointment is cancelled with less than 48 hours notice, or if we are unable to access the home upon arrival, or if we are turned away at the door, a cancellation / lockout fee equal to 50% of the service price will be charged to the card on file.
5.4 Repeated Cancellations or No-Shows
Repeated cancellations, no-shows, or lockouts may result in termination of service at Upkeep's discretion. We reserve the right to refuse or terminate service to any customer for any reason.
5.5 Rescheduling Prepaid Cleanings
3-Month Prepay customers may reschedule individual cleanings freely, subject to the 48-hour notice window above. Rescheduling within 48 hours does not consume a credit but does incur the rescheduling fee in Section 5.2.
6. Excessive Soiling and Additional Time
When you book a cleaning, the estimated time and price are based on the home size and information you provide. If our team determines during the appointment that your home requires substantially more time than estimated — typically defined as at least one additional hour of work — due to excessive soil, clutter, hazardous conditions, pet hair beyond typical levels, or other unusual factors, we will contact you before performing the extra work. You may then choose either:
(a) Approve the additional time at Upkeep's current rate of $90 per additional hour, per team, or
(b) Decline the additional time and allow the team to complete as much work as possible within the original booking window, focusing on the areas you prioritize. In this case, portions of the standard deep-clean checklist may not be completed.
We document conditions with photos and notes when additional time is required. Additional time is generally billed by the hour with case-by-case discretion applied to partial hours. By booking with Upkeep, you agree to these additional-charge terms.
7. Promotional Codes and Discounts
- From time to time, Upkeep may offer promotional codes for discounts on services. Promotional code terms:
- Codes are only valid on the plans and services specifically designated for the code as displayed at checkout.
- Codes cannot be combined unless expressly stated.
- Codes have no cash value and are not redeemable for cash.
- Upkeep reserves the right to modify, suspend, or terminate any promotional code at any time.
- Codes cannot be applied retroactively to previously completed bookings.
8. Satisfaction Guarantee
If you are not fully satisfied with your service, please contact us within 24 hours of the completed appointment and we will return to correct any issues at no additional charge. We do not offer refunds for completed services, but we will work promptly to make it right.
9. Access, Safety, and Client Responsibilities
Clients are responsible for:
- Providing access to the property at the scheduled time
- Securing pets during the service
- Securing valuables and personal items of significant value
- Ensuring a safe working environment (adequate lighting, no biohazards, no unsecured firearms, etc.)
- Notifying us of any known hazards, fragile items, or areas that require special handling
We are not liable for damages resulting from improperly secured homes, furniture, fixtures, or contents.
10. Damages and Breakage
Our team takes the utmost care in every home, but occasional accidents may occur. Please report any concerns within 24 hours of your appointment so we can address them. Upkeep is fully insured and will address valid claims on a case-by-case basis. We are not responsible for pre-existing damage or for damage to items that were fragile, improperly secured, or not disclosed in advance.
11. Supplies and Equipment
Upkeep provides all standard cleaning supplies and equipment. If you have specific product preferences, allergy concerns, or a preference for using your own products, please notify us in advance.
12. Service Limitations
Our cleaning teams do not:
- Lift items over 30 pounds
- Climb ladders beyond a two-step stool
- Clean biohazardous material, mold, blood, human waste, or animal waste
- Remove trash or items outside of standard residential cleaning
- Clean the exterior of the home, garage floors, or outdoor areas
- Provide services requiring specialized licenses (pest control, mold remediation, etc.)
Services requested outside these limitations may be declined at the technician's discretion.
13. Referrals
Upkeep may offer rewards from time to time for customers who refer new clients. Referral rewards are handled directly with the referring customer and are subject to verification that the referred client is a new customer of Upkeep. Referral offers may be modified or discontinued at any time.
14. Communications and Marketing
By providing your phone number and email during booking, you consent to receive appointment confirmations, service reminders, receipts, and occasional promotional communications from Upkeep. You may opt out of promotional communications at any time by replying STOP to a text message or clicking the unsubscribe link in any email. Transactional messages (such as appointment confirmations) will continue as needed to service your account.
15. Chargebacks and Payment Disputes
If you believe an invoice or charge from Upkeep is incorrect, please contact us promptly at [email protected] or (435) 246-1555 so that we can review the account and attempt to resolve the issue.
Customers remain responsible for payment for services that were properly requested, authorized, and completed, even if a previous payment fails, is declined, is reversed, is refunded to correct a payment-method issue, or is otherwise not successfully received by Upkeep.
A refund or reversal of a payment does not constitute a waiver of the underlying amount owed for completed services unless Upkeep expressly states in writing that the service charge itself has been waived or refunded.
If an amount remains unpaid, Upkeep may suspend or terminate future service and may pursue reasonable collection remedies available under applicable law, including invoicing, referral to a third-party collection provider, or legal action to recover amounts properly due.
If you initiate a chargeback or payment dispute for a charge you believe is incorrect, Upkeep may provide the payment processor or financial institution with records relating to the booking, service performed, customer communications, payment authorization, invoices, photographs, and other relevant documentation.
16. Limitation of Liability
To the fullest extent permitted by law, Upkeep's total liability for any claim arising out of or related to our services is limited to the amount you paid Upkeep for the service giving rise to the claim. Upkeep is not liable for indirect, incidental, consequential, or punitive damages.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah. Any disputes shall be resolved in the appropriate state or federal courts located in Salt Lake County, Utah. You and Upkeep both waive any right to a jury trial.
